Attorney

Legal support for the diagnostics business, which is comprised of a number of business units, including manufacturing sites and service laboratories, located in different global locations, as well as other related functional groups including Tax, Human Resources, Customs, Information Technology, Global Sourcing and Quality.
Duties and Responsibilities:
Contract drafting and review for global business.
Primary support for standard agreements including CDA’s, MTA’s, Collaboration Agreements, Consulting Agreements, OEM Agreements, Clinical Study Agreements, Laboratory Service Agreements; review and negotiation of non-standard third party terms and conditions, particularly complex end user sales agreements.
Secondary support for non-standard and complex agreements, including software and other technology licensing agreements. Ability to provide primary support for technology license agreements is a plus.
Provide legal advice and counseling in connection with interpretation of existing contracts and resolution of disputes
Compliance:
Assist in the development and delivery of policies and procedures, training and counseling on a range of compliance-related matters including FDA and foreign regulations pertaining to medical devices and tests, sample collection and usage, HIPAA, FCPA, etc.
Provide legal advice and counseling on human resources, regulatory and quality compliance (as support to regulatory/quality function) and other non-contractual matters.
Business Development Support, including collaborations and M&A:
Due diligence activities including contract review.
Transaction document drafting and negotiation (assisting senior attorney).
Support integration efforts related to acquired entities, as required by integration teams.
Litigation:
Discovery activities assisting senior attorney and outside counsel.
Oversight of outside litigation matters.

Review of marketing materials, press releases and trade releases.
